These Terms of Service are between you (the business purchasing the service) and Recepflo Limited, a company registered in New Zealand ('Recepflo', 'we', 'us'). By creating an account you agree to these terms. If you are accepting on behalf of a company, you represent that you have authority to bind that company.
Recepflo provides an AI receptionist platform that handles inbound voice calls, SMS, WhatsApp, and web chat on your behalf — answering enquiries, booking appointments, capturing leads, and escalating to your team. The service is available worldwide, subject to the channel providers (Meta, Twilio, WebSMS) being available in your country.
You must provide accurate and current business information when creating an account. You are responsible for maintaining the security of your login credentials and for all activity that occurs under your account. Notify us immediately at hello@recepflo.ai if you suspect unauthorised access.
Recepflo is offered on a monthly subscription basis. Prices, plan limits (conversations and voice minutes), and overage rates are shown on the Pricing page at the time of purchase. Subscriptions renew automatically each month unless cancelled. All prices are in New Zealand Dollars (NZD) unless a different currency is displayed for your region.
Prices shown may be exclusive of applicable taxes. GST (15%) applies to NZ customers. Australian GST (10%) applies where required. VAT applies to EU and UK customers at the rate applicable in your country. Sales tax may apply to US customers depending on your state. Applicable taxes will be calculated and shown at checkout. You are responsible for any withholding taxes required by your local law.
Where a free trial is offered, no payment is required during the trial period. At the end of the trial your subscription will begin automatically if you have added a payment method. You may cancel before the trial ends to avoid being charged.
You may cancel your subscription at any time from the billing section of your dashboard. Cancellation takes effect at the end of the current billing period. You will retain access to the service until that date. We do not offer pro-rated refunds for partial months except where required by applicable law.
Nothing in these terms limits rights you have under the New Zealand Consumer Guarantees Act 1993 or the Australian Consumer Law that cannot be excluded by contract. If you are acquiring the service primarily for business purposes, you may agree to contract out of the Consumer Guarantees Act (NZ) to the extent permitted by law.
EU and UK consumers have statutory rights that cannot be waived by contract, including rights under the EU Consumer Rights Directive and UK Consumer Rights Act 2015. Where these rights apply, they take precedence over any conflicting provision in these terms.
AI receptionists can misunderstand requests, miss context, or be unavailable when third-party voice, messaging, calendar, or AI providers experience outages. Recepflo is not suitable as the sole emergency or safety-critical communication channel for any business. Test your configuration before directing live customer traffic through the service. We do not guarantee specific uptime levels unless stated in a separate service level agreement.
You must not use Recepflo for: unlawful activity in any jurisdiction; unsolicited commercial messaging (spam); deceptive, misleading, or fraudulent communications; impersonating another person or business; or directing AI interactions at minors. We may suspend or terminate accounts that breach these requirements without prior notice.
Recepflo is not HIPAA-certified (USA), not certified under the Australian My Health Records Act, and not configured for FCA-regulated financial services (UK) or equivalent regulated industries in other countries. If you operate in a regulated industry that imposes specific requirements on the collection, use, or storage of customer data (e.g. healthcare, financial advice, legal services), do not use Recepflo for regulated workflows without first contacting us at hello@recepflo.ai to assess suitability and execute the required agreements.
You are responsible for: the accuracy of your business information, services, pricing, and availability; ensuring your use of Recepflo complies with all laws applicable to your business and location, including consumer protection, privacy, and telecommunications laws; obtaining any consents required to contact your customers through the channels you enable; and reviewing and acting on handoff alerts in a timely manner.
Recepflo retains all rights in the platform, software, AI models, and product. You retain ownership of your business data, customer records, and content you provide. By using the service you grant Recepflo a limited, non-exclusive licence to process your data solely to deliver, maintain, and improve the service.
Each party agrees to keep confidential the other's non-public information disclosed in connection with the service. Recepflo will treat your business configuration, customer data, and usage data as confidential and will not disclose it except to sub-processors as necessary to deliver the service, or as required by law.
To the maximum extent permitted by applicable law, Recepflo's total liability for any claim arising out of or relating to these terms or the service is limited to the fees you paid in the three months preceding the claim. Recepflo is not liable for indirect, incidental, consequential, or punitive damages, including lost revenue, lost bookings, or data loss, except where such exclusions are prohibited by law in your jurisdiction.
You agree to indemnify and hold Recepflo harmless from any claims, damages, or expenses (including reasonable legal fees) arising from your violation of these terms, your misuse of the service, or your failure to comply with applicable laws in your operation of the business.
We may suspend or terminate your account immediately if you breach these terms, if required by law, or to protect the integrity of the service. We will give you reasonable notice where possible. On termination, your right to access the service ends and we will delete or return your data in accordance with our Privacy Policy.
We may update these terms from time to time. Material changes will be notified by email at least 14 days before they take effect. The current version is always available at recepflo.ai/terms. Continued use of the service after the effective date constitutes acceptance of the updated terms. If you do not accept the changes, you may cancel before the effective date.
These terms are governed by the laws of New Zealand. Customers in the EU, UK, Australia, and other jurisdictions also benefit from mandatory protections under their local consumer and privacy laws, which are not affected by this clause. Disputes will first be addressed through good-faith negotiation. If unresolved after 30 days, either party may refer the matter to the courts of New Zealand, or — for consumers — to the courts of their local jurisdiction where required by local law.
